Terms of Service

These Terms are a template and not legal advice. Before relying on them, have them reviewed by a qualified lawyer. The service provider ("ReviewSnippet", "we", "us") is phpMyDEV, LLC, a limited liability company organized in Arizona, USA, located in Scottsdale, Arizona, USA. The service is provided at reviews.whitneys.co.

1. Agreement to these Terms

By creating an account, embedding our widget, or otherwise using the service, you agree to these Terms. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the service.

2. The service

ReviewSnippet is an embeddable reviews widget. It lets a website owner (a) collect reviews from visitors and display them, with moderation, through our hosted backend ("API mode"), or (b) display reviews the owner curates and hosts themselves, with no backend ("static mode"). Features may change, improve, or be discontinued over time.

3. Accounts

  • Sign-in is passwordless: we email a one-time link to your address. You are responsible for keeping access to that email account secure and for all activity under your account.
  • You must provide accurate information and be at least the age of majority in your jurisdiction.
  • One person or entity per account, unless we agree otherwise.

4. Acceptable use

You agree not to, and not to permit anyone to:

  • post, collect, or publish content that is unlawful, defamatory, harassing, hateful, deceptive, or infringes anyone's rights;
  • submit or solicit fake, incentivized-without-disclosure, or manipulated reviews, or otherwise misrepresent the origin of a review;
  • upload others' personal data without a lawful basis and any required notice or consent;
  • attempt to defeat, probe, or overload our anti-spam (proof-of-work), rate limits, or other security measures, or access the service other than through the provided interfaces;
  • scrape, resell, or use the service to build a competing dataset; or
  • use the service to violate any applicable law, including consumer-protection rules on reviews.

5. Your content and the reviews you collect

You retain ownership of your content and of the reviews collected through your site. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display that content solely to operate and provide the service to you. As between you and us, you are responsible for the reviews you choose to publish and for having any rights and lawful basis needed to publish them.

6. Reviewer submissions

People who submit a review through a widget represent that the review reflects their own genuine experience and is not unlawful or infringing. Submitting a review grants the site owner and us a license to display and store it as part of the service. Reviews are published immediately and unedited; no approval step stands between a review and the page.

The person who wrote a review keeps control of it. On submission they receive a private link that is the only means of reaching it; that link erases the review and everything stored with it, at any time and without asking anyone. We cannot reissue the link and cannot erase a review on the author's behalf.

7. Takedowns

Site owners cannot delete or edit reviews about them, and cannot choose which reviews appear. An owner's response to a review is a public reply. An owner may take a review down only by recording one of the stated reasons -- spam or advertising, personal information, abusive or hateful content, illegal content, or a reviewer who is provably not a customer -- and every takedown is disclosed to visitors as a count on the widget. Disagreeing with a review is not a reason to remove it, and we treat takedowns that misuse the stated reasons as a violation of these Terms.

We may remove or disable content or accounts that we reasonably believe violate these Terms or the law. We are not responsible for user-generated content and do not endorse any review.

8. Availability

The service is provided on a reasonable-efforts basis. We do not guarantee it will be uninterrupted or error-free, and we may perform maintenance or change the service. No specific uptime is promised unless agreed separately in writing.

9. Fees

Any paid plans, their prices, and their terms will be stated at sign-up or in an order. Unless stated otherwise, the service is currently provided free of charge and we may introduce or change fees on reasonable notice.

10. Intellectual property

We own the software, the widget, the ReviewSnippet name and logo, and all related intellectual property. These Terms grant you no rights in them except the limited right to use the service as intended.

11. Suspension and termination

You may stop using the service and delete your account at any time. We may suspend or terminate access for violation of these Terms, legal risk, or non-payment. On termination we may delete your data after a reasonable period; see the Privacy Policy for retention details.

12. Disclaimers

To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the service will not exceed the greater of the amounts you paid us in the twelve months before the claim or USD 100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnification

You will defend and indemnify us against claims, losses, and expenses arising from your use of the service, your content or the reviews you collect, or your breach of these Terms or of law.

15. Changes to these Terms

We may update these Terms. If we make material changes we will take reasonable steps to notify you. Continued use after changes take effect means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-laws rules. The state and federal courts located in Maricopa County, Arizona will have exclusive jurisdiction, and you consent to their jurisdiction and venue, except where mandatory consumer law provides otherwise.
